Terms of Service

These Terms of Service ("Terms") govern your access to and use of StaffSimple.ai ("StaffSimple," "we," "our," or "us"), a software platform operated by Weyant Staffing LLC, a California limited liability company at 739 Mermaid Avenue, Pacific Grove, CA 93950.

By creating an account, accessing the platform, or receiving messages from us, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

StaffSimple provides a staffing and workforce-management platform used by staffing agencies and their workers and clients. Core functions include worker onboarding, shift scheduling and assignment, timesheet capture, client coordination, and operational notifications delivered by email and SMS.

2. Account Registration

You must provide accurate information, keep it updated, and safeguard your login credentials. You must be at least 18 and able to enter a binding contract.

3. Acceptable Use

You agree not to use the service unlawfully, to send harassing or fraudulent content, to attempt unauthorized access, to disrupt the service, to send unsolicited commercial messages, or to resell the service without our written consent.

4. SMS Messaging Program

4.1 Program Description

StaffSimple operates an SMS program that delivers operational and transactional notifications related to your use of the platform. Message types include timekeeping submissions and confirmations, supervisor approval requests and status updates, CRM note logging confirmations, and account alerts. This is a transactional program — we do not send marketing or promotional text messages.

4.2 Consent and Opt-In

By providing your mobile number during account registration or onboarding and affirmatively opting in (by checking the SMS consent checkbox or signing the SMS consent section of onboarding paperwork), you agree to receive SMS text messages from StaffSimple at that number. Consent is not a condition of employment or service. The disclosure you agree to reads substantially as follows:

4.4 Costs

Message and data rates may apply. StaffSimple does not charge you for SMS messages, but your mobile carrier may charge you based on your plan.

4.6 Carriers and Delivery

Messages are delivered through third-party carriers. Carriers are not liable for delayed or undelivered messages, and delivery is not guaranteed.

4.7 Eligible Numbers

U.S. mobile numbers are supported. You must be the account holder or authorized to use the number you provide. Landlines and VoIP numbers may not receive messages reliably.

5. Privacy

Your use of the service is also governed by our Privacy Policy, incorporated by reference. Mobile opt-in data and consent will not be shared with any third parties or affiliates for marketing or promotional purposes.

6. Fees and Payment

Fees, billing cycles, and payment terms for paying customers are set out in your separate service agreement or order form with Weyant Staffing LLC. Fees are non-refundable except as expressly stated.

7. Intellectual Property

StaffSimple, the platform, and all associated content, software, trademarks, and logos are owned by Weyant Staffing LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to use the service for its intended purpose.

8. User Content

You retain ownership of content you submit (timesheets, notes, profile information) and grant Weyant Staffing LLC a limited license to use, store, and process it as necessary to operate the service.

9. Termination

You may terminate your account at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or if required by law. Provisions that by nature should survive termination will survive.

10. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind. SMS delivery depends on third-party carriers and is not guaranteed.

11. Limitation of Liability

To the maximum extent permitted by law, Weyant Staffing LLC will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability will not exceed the greater of the fees you paid us in the preceding twelve months or one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Weyant Staffing LLC from claims arising out of your breach of these Terms, misuse of the service, or violation of law or third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of California. Disputes will be resolved in the state or federal courts located in Monterey County, California.

14. Changes to These Terms

We may update these Terms; material changes will be communicated and the "Last updated" date revised.
